ShopOS — Terms of Use

Please read these Terms of Use carefully before using ShopOS. By creating an account or using any part of the service, you confirm that you have read, understood, and agreed to be bound by these terms.

1. Who We Are

ShopOS is a point-of-sale and business management platform operated by Lene Creative Studio, a business based in Zimbabwe. References to “we”, “us”, or “our” in these terms refer to Lene Creative Studio. References to “you” or “your” refer to you as the account holder and any staff members accessing the platform under your account.

2. What the Service Does

ShopOS provides tools for small businesses to record sales, manage inventory, track expenses, manage service jobs, and generate basic financial reports. The platform includes a web application and an Android mobile application that works offline.

The platform is designed as a business management aid only. It does not constitute financial, accounting, tax, or legal advice. You are responsible for ensuring your business records comply with applicable laws and regulations in Zimbabwe or wherever you operate.

3. Eligibility

To use ShopOS you must:

  • Be at least 18 years old or the legal age of majority in your country
  • Have the authority to enter into these terms on behalf of your business
  • Provide accurate information when registering your account
  • Not be prohibited from using the service under any applicable law

4. Account Registration and Security

You are responsible for maintaining the security of your account credentials. You must not share your password with anyone outside your authorised staff. You are fully responsible for all activity that occurs under your account, whether or not you authorised it.

If you believe your account has been compromised, you must notify us immediately at tendai@lenecreativestudio.com. We are not liable for any loss resulting from unauthorised access to your account caused by your failure to keep your credentials secure.

You may add staff members to your account. You are responsible for ensuring your staff comply with these terms. Any breach of these terms by a staff member is treated as a breach by you.

5. Your Data and Ownership

You retain full ownership of all business data you enter into ShopOS, including products, transactions, expenses, customer information, and staff records. We do not claim any ownership over your data.

You grant us a limited, non-exclusive licence to store, process, and transmit your data solely for the purpose of providing the service to you. We do not use your data for any other purpose without your explicit consent.

You are responsible for the accuracy and legality of the data you enter. Do not enter false records, fraudulent transactions, or information that misrepresents your business finances.

6. Trial Period and Payment

New accounts receive a free trial period as communicated at signup. No payment is required during the trial. At the end of the trial, continued access to the platform requires a paid subscription.

Subscription fees, payment methods, and billing cycles are agreed directly with ShopOS support. We reserve the right to change pricing with reasonable advance notice communicated through the app or by email.

If payment is not received after the trial or after a subscription lapses, access to the platform may be restricted or suspended. Your data will be retained for a reasonable period to allow you to settle payment and regain access.

Fees paid are non-refundable except where required by applicable law or at our discretion in exceptional circumstances.

7. Acceptable Use

You agree to use ShopOS only for lawful purposes. You must not:

  • Use the platform to record, conceal, or facilitate any illegal activity including tax evasion, money laundering, or fraud
  • Attempt to access another shop's data or any part of the system you are not authorised to access
  • Reverse-engineer, decompile, copy, or reproduce any part of the software
  • Use automated scripts, bots, or scrapers to extract data from the platform
  • Upload malicious code, viruses, or anything that could damage the platform or other users
  • Resell or sublicense access to the platform to third parties
  • Impersonate another user, business, or ShopOS staff

We reserve the right to suspend or terminate any account that we reasonably believe is in violation of these terms, without prior notice in serious cases.

8. Intellectual Property

All software, designs, trademarks, and content that make up ShopOS are owned by Lene Creative Studio or its licensors. Nothing in these terms transfers any intellectual property rights to you. You may not copy, modify, or distribute any part of the platform without our written permission.

9. Availability and Uptime

We aim to keep ShopOS available at all times but do not guarantee uninterrupted access. The service may be temporarily unavailable due to maintenance, updates, network issues, or circumstances beyond our control.

The Android app is designed to work offline for core functions (recording sales, viewing inventory). You should not rely solely on internet connectivity to operate your business.

10. Limitation of Liability

To the maximum extent permitted by law, ShopOS and Lene Creative Studio shall not be liable for:

  • Loss of business, revenue, or profits
  • Loss of data due to device failure, accidental deletion, or circumstances outside our control
  • Business decisions made based on reports or figures generated by the platform
  • Indirect, incidental, special, or consequential damages of any kind
  • Any loss arising from third-party services we rely on (including Supabase, Vercel, or internet providers)

Our total liability to you for any claim shall not exceed the amount you paid to us in the three months prior to the claim arising.

You are solely responsible for maintaining your own backup records. We recommend regularly exporting your data and keeping independent records of your business finances.

11. Indemnification

You agree to indemnify and hold harmless Lene Creative Studio and its staff from any claims, losses, damages, or expenses (including legal fees) arising from your use of the platform, your violation of these terms, or your violation of any third-party rights.

12. Termination

You may close your account at any time by contacting us. We may suspend or terminate your account if you violate these terms, fail to pay subscription fees, or if we discontinue the service.

Upon termination, your access to the platform will cease. We will retain your data for up to 90 days after termination to allow you to request a data export, after which it will be permanently deleted.

13. Governing Law and Disputes

These terms are governed by the laws of Zimbabwe. Any disputes arising from these terms or your use of ShopOS shall first be attempted to be resolved through direct communication with us. If a resolution cannot be reached, disputes shall be subject to the jurisdiction of the courts of Zimbabwe.

14. Changes to These Terms

We may update these terms from time to time. We will notify you of significant changes via the app or by email. Your continued use of ShopOS after changes are posted constitutes acceptance of the updated terms. If you do not agree to the updated terms, you must stop using the service.
